Overview

This senior director and Deputy General Counsel directly impacts the long-term best interest of Compassion International by serving as an advisor to the General Counsel, senior leaders, and key professional high-level staff. This incumbent provides proactive advice that broadly guides Compassion's strategy, policy, and direction from a legal, governance, and best-practices perspective. Working with the General Counsel, he or she directs Compassion's legal affairs domestically, providing specialized counsel and expertise on matters including but not limited to contracts, compliance, policy, employment and labor law, funding, litigation management, copyright and trademark issues, political affairs, and regulations and restrictions pertaining to tax-exempt status. This position provides direction through subordinate directors/managers to the organization's legal department and related processes with the offices of Risk Management. This incumbents scope of responsibility includes hiring, discipline, and termination, as well as, coaching, performance management, and work directing the ministries domestic strategies. The incumbent collaborates with other senior leaders and sets functional strategy. Decisions are guided by major operational strategy and executive priorities.

Responsibilities

  • Maintains a personal relationship with Jesus Christ. Is a consistent witness for Jesus Christ, maintains a courteous, Christ-like attitude in dealing with people within and outside of Compassion, and faithfully upholds Compassion’s ministry in prayer.
  • Acts as an advocate for children – raising the awareness of the needs, neglect, nurture, and potential of children in poverty and challenging and enabling those within one’s influence to greater involvement and effectiveness on behalf of children.
  • Provides leadership and development to direct reports to include Assistant General Counsels and Directors.  Works with staff to foster an environment of professional growth, in alignment with compassion’s strategies and objectives.  Consult with peer management and senior leaders to successfully align departmental resources and priorities across Compassion.
  • Is accountable for the performance and results of a major part of the function (a key/large global sub-function or regional oversight within organizational group)

  • Full accountability for meeting talent (people) and fiscal (budget) goals for area of responsibility

  • Leads a major part of the organization (significant operational segment within an organizational unit) develops and executes long-term functional strategy to achieve key organizational objectives

  • Develops and executes strategy to achieve key organizational objectives. These strategies are guided by key organization and functional objectives.
  • Compiles or prepares and administers the annual budget and departmental expenses, ensuring accountability for on-time completion of deliverables based on department objectives, SLAs, and other Compassion standards, ensuring compliance with regulatory and board policies.
  • Selects, manages and develops assigned staff, establishing goals and objectives, coaching and managing performance, including discipline, motivation, and annual reviews; supports continuous learning and development that enhances individual performance and organizational capability.
  • Provides meaningful input and perspective to the strategic and operational planning and decision-making for the international ministry. Provides overall leadership and coordination for Compassion's domestic legal department and activities and is directly involved with the General Counsel and Deputy General Counsel – International, at the outset and throughout the process of any threat of litigation or risk to reputation. Renders legal analysis and guidance on Compassion’s strategic, policy, and organizational activities, including but not limited to, all vendor/consultant agreements, leases, litigation, compliance, employment and labor law issues, international issues, copyright and trademark issues, and regulations and restrictions pertaining to tax-exempt status.
  • Serves as an active member of the General Counsel Office Leadership Team to provide meaningful input and perspective into the strategic and operational decisions under consideration or in need of implementation. Plays a critical role in the effective communication, culture building and change management for the worldwide ministry of Compassion.
  • Establishes relationships and works with in-house and outside attorneys to provide counsel to all senior management and to obtain technical assistance and pro-bono legal services in all areas affecting the organization, including intellectual property, publishing, real estate, labor, litigation, tax, and not-for-profit law in the domestic context. Advises on other legal matters, such as employment law and audit components, supports domestic offices on compliance and regulatory issues, and serves on regular or ad hoc committees as required.
  • Contributor to the General Counsel report to the Board of Directors, providing legal perspective and updates to the Board. Monitors corporate governance including reviewing and monitoring Compassion Bylaws, ensuring compliance with Bylaw provisions, and recommending adjustments, where needed, to comply with IL, CO, and federal non-profit corporation laws.
  • Develops in-house legal team and related processes. Oversees legal staff who draft and review legal documents, including commercial leases and contracts, charitable registrations and compliance, and technology-related work, including Internet service provider contracts, and negotiates the terms of such agreements. Further, exercises a high level of decision-making and signing authority for all contracts of significant dollar value.

Qualifications

  • Has a personal relationship with Jesus Christ.



Work Experience/Education

  •  Juris Doctorate from an accredited law school.  
  • Currently licensed to practice law in at least one country (or be eligible to become licensed within 12 months of hire through examination or reciprocity).
  • A high degree of expertise in company benefits (defined benefits plans, etc...), tax, intellectual property, and business structures.
  • Also, require experience directly supervising other attorneys. 
  • Knowledge of exempt organization preferred.

 

 


Working Environment: Office – Standard Office Environment

Physical Demands: Sitting, standing, and/or walking for up to 8 hours per day

Travel Requirements: May be required to travel up to 25% of normal schedule
